Welcome to Amtek Infocom. These Terms and Conditions (“Terms”) govern your use of our website (https://amtekinfo.com), purchase of services or products, and any related support. By accessing or using our Site and engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
1. Definitions
- “Company”, “we” or “us”: Amtek Infocom, a company incorporated in India, having its registered office at F-110, Jai Tirupati Dham, Indralok Phase-1, New Goddev Road, Bhayander East, Thane 401105, Maharashtra, India.
- “Client” or “you”: Any person or entity that accesses the Site, purchases products or services, or otherwise engages with us.
- “Services”: IT consulting, software development, managed services, cloud migration, cybersecurity, training, support, and any other professional offerings.
- “Deliverables”: Reports, software, documentation, designs, or other work product provided under an Engagement.
- “Engagement”: A defined project, contract, subscription, or order for Services or Products.
2. Scope of Services
2.1. All Services are provided as per a mutually executed Statement of Work (SoW), Purchase Order, or Service Agreement. Any deviation requires written change order signed by both parties.
2.2. We reserve the right to subcontract portions of Services, provided that subcontractors adhere to our confidentiality and quality standards.
3. Website Access and Use
3.1. You agree to use the Site only for lawful purposes and in compliance with applicable laws.
3.2. You shall not:
- Reverse engineer, decompile, or hack the Site.
- Introduce viruses, malware, or disruptive code.
- Harvest or collect personal data of other users without consent.
4. Registration & Account Security
4.1. Certain areas of our Site or Services require account creation. You agree to:
- Provide accurate, current, and complete information.
- Maintain confidentiality of login credentials.
- Notify us immediately of any unauthorized use of your account.
4.2. You are solely responsible for all activities under your account.
5. Intellectual Property Rights
5.1. We own and retain all right, title, and interest in our software, methodologies, trademarks, and proprietary materials.
5.2. Unless otherwise agreed in writing, we grant Clients a non-exclusive, non-transferable license to use Deliverables solely for internal business purposes.
5.3. Clients own any Client-supplied data; we may use anonymized data for analytics and improvement.
6. Fees, Payment & Taxes
6.1. All fees are set forth in the SoW or Purchase Order. Unless stated otherwise, payment is due 30 days from invoice date.
6.2. Late payments accrue a service charge of 1.5% per month or the maximum permitted by law.
6.3. You are responsible for all applicable taxes, duties, and levies.
7. Delivery and Acceptance
7.1. Delivery milestones and timelines will be defined in the SoW.
7.2. Upon delivery of each milestone, Client shall review and either:
- Accept in writing, or
- Provide written objections within 10 business days describing deficiencies.
7.3. Failure to object within the review period constitutes acceptance.
8. Refunds & Returns
Refunds for Services, digital products, or hardware are governed by our Refund and Returns Policy. Please review that policy for details on eligibility and procedures.
9. Confidentiality
9.1. Each party (“Recipient”) shall protect Confidential Information of the other (“Disclosing Party”) with at least the same degree of care it uses for its own confidential data.
9.2. Confidential Information includes trade secrets, business plans, client lists, proprietary software, and technical specifications.
9.3. Exclusions: Information that is (a) publicly available, (b) rightfully received from a third party, or (c) independently developed.
9.4. Obligations survive termination of these Terms for five (5) years.
10. Warranties & Disclaimers
10.1. We warrant that Services will be performed with reasonable skill and care.
10.2. EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES AND DELIVERABLES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.3. We do not warrant uninterrupted or error-free operation of the Site or Services.
11. Limitation of Liability
11.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, our total liability under these Terms shall not exceed the total fees paid by Client for the specific Engagement giving rise to the claim.
11.2. IN NO EVENT shall we be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits or data, even if advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless Amtek Infocom and its officers, directors, employees, and agents from any third-party claims, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising from:
- Your breach of these Terms
- Your negligent or willful misconduct
- Your violation of applicable laws or third-party rights
13. Termination
13.1. Either party may terminate an Engagement for material breach if the breaching party fails to cure within 30 days of written notice.
13.2. We may suspend Services or access to the Site for non-payment or breach of security obligations.
13.3. Upon termination, Client shall pay for Services rendered up to termination date and return any Company-owned materials.
14. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of India. Any dispute arising hereunder shall be resolved by binding arbitration in Thane, Maharashtra, under the Indian Arbitration and Conciliation Act, 1996. The arbitral award shall be final and binding.
15. Changes to Terms
We reserve the right to modify these Terms at any time. The “Last updated” date will reflect the revision. Continued use after changes constitutes acceptance.
16. Severability
If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
